LoQuill Terms of Service & Software License

These Terms of Service (“Terms”) govern your download, installation, purchase, and use of the LoQuill desktop application (“the Software”) provided by ETLS NORDIC STUDIO AB (“ETLS”, “we”, “us”), a Swedish company (Org.nr: 559589-6258, Säte: Stockholm, Sweden).

1. Acceptance & Scope

By downloading, purchasing, or using LoQuill, you agree to these Terms. If you do not agree, do not install or use the Software.

2. License Tiers & 7-Day Free Trial

• 7-Day Free Trial: You may evaluate LoQuill for up to seven (7) consecutive days starting when you finish onboarding after the final dictation exercise. No license key is issued for the trial. Upon expiration of the 7-day evaluation period, access to core transcription and polishing features ceases until a valid commercial license key is purchased and activated. All restrictions in Section 5 (Intellectual Property & Model Protection) apply strictly to trial users.
• Commercial Licenses: Paid licenses are sold as a one-time purchase with lifetime access to the purchased version according to your plan:
  • Solo: 1 license key for use on 1 Mac at a time.
  • Duo: 2 license keys for use on up to 2 Macs at a time.
  • Trio: 3 license keys for use on up to 3 Macs at a time.
  • Team: License keys for the number of seats specified at checkout.
• Validation & Device Transfers: The Software periodically verifies license status while online. You may transfer a paid license to a replacement Mac by contacting support at leo@etls.studio to reset your active seat, provided that you completely delete and uninstall the Software from your previous Mac prior to reactivation. Concurrent use on more devices than permitted by your purchased license tier is strictly prohibited. ETLS reserves the right to deactivate trial access or license keys that violate these Terms.

3. System Requirements & Local-First Processing

• Compatibility: LoQuill runs exclusively on Apple Silicon Macs (M1 or newer) running macOS 15 (Sequoia) or later. Intel Macs, Windows, iOS, and other platforms are not supported.
• 100% On-Device Privacy: All audio capture, speech-to-text transcription, and text polishing run entirely locally on your device. Audio recordings and transcribed text are never transmitted to external servers.

4. Billing & Merchant of Record

Orders, billing, and tax compliance are handled by Polar (polar.sh) as Merchant of Record. Polar's Buyer Terms govern payment processing and VAT calculation. You can access your official VAT invoices, order history, and active license keys at any time via the Polar Customer Portal.

5. Intellectual Property & Model Protection

• Ownership: ETLS retains all rights, title, and intellectual property in LoQuill, its code, interface, branding, and proprietary fine-tuned model weights (including LoQuill L1 Pro).
• No Redistribution: You may not copy, decompile, reverse-engineer, redistribute, re-host, sublicense, or share the Software, its binary releases, or its fine-tuned model weights.
• Open-Source Attribution: LoQuill incorporates or downloads base models released under permissive open-source licenses:
  • Speech-to-text base model: NVIDIA Parakeet (CC BY 4.0).
  • Language model base: Alibaba Qwen (Apache 2.0).
    Respective open-source notices remain intact for their original base components.

6. 14-Day Money-Back Guarantee

We want you to be completely satisfied with LoQuill. If the Software does not meet your expectations, we offer a 14-day money-back guarantee from your date of purchase:

1. Request Process: Email your refund request within 14 days of purchase to leo@etls.studio. Your email must include your Polar Order ID, your Mac model / macOS version, and a brief description of the issue or why LoQuill did not meet your needs.
2. License Revocation: Upon refund approval, your license key will be permanently deactivated in Polar, and you agree to uninstall the Software.

7. AI Output & Accuracy

Speech recognition and AI polishing are statistical processes and may occasionally produce transcription errors. You retain full ownership of the content you create and are solely responsible for reviewing and verifying the accuracy of transcribed text before using or relying on it.

8. Disclaimer of Warranties & Liability Limitation

• "As Is": The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied.
• Damages Disclaimer: To the maximum extent permitted by applicable law, ETLS shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data, lost profits, or business interruption.
• Liability Cap: ETLS’s total aggregate liability arising out of or relating to your use of LoQuill is strictly limited to the amount you paid for your license.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed under the substantive laws of Sweden. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Software shall be subject to the exclusive jurisdiction of the Stockholm District Court (Stockholms tingsrätt), Sweden.

11. Free Trial

The seven-day evaluation described in Section 2 requires no payment details. Enter your email on the website to get the download, then complete setup in LoQuill without a licence key. Your seven days start once your models and setup are ready. You have three days to complete setup before pre-trial model access expires. The evaluation period includes time when the app is closed or offline.

One trial is available per Mac installation. When it ends, new dictation, polishing and file transcription require a purchased licence. Work already in progress may finish. Your local history remains available. There is no automatic charge or subscription. A free trial does not affect the 14-day money-back guarantee for a later purchase.

Trial and licensing: We use the email you submit on the website to send a welcome email and one service follow-up seven days after submission. This email schedule is separate from the app’s seven-day trial, which starts after setup. Email confirmation and browser-to-app linking are not required. You can stop trial emails using the link in either message. We store a random installation identifier, trial start/end times and a record of eligibility to administer trials and prevent repeated claims. Rate limiting uses short-lived, hashed request identifiers. Trial email records are removed within 90 days; eligibility records are kept for up to 12 months. We do not infer marketing consent from a trial signup. Trial credentials are stored locally in macOS Keychain. Paid licence activation uses your licence key and a random device identifier through our licensing service and Polar.

Purchases, support and website: Polar processes customer, payment, invoice and licence information as Merchant of Record under its own privacy terms. We use purchase and licence records to provide access, answer support requests and meet accounting obligations. When you contact us, we process the information you choose to send for support. Website analytics record page paths, referring hosts and checkout events, without analytics cookies or stored IP addresses. Cloudflare provides website hosting and the licensing and trial services. Resend sends the trial welcome and follow-up emails. Access is limited to operating the service, and data is retained only as required for the stated purposes or applicable accounting law.

We process data needed to deliver the Software and respond to you under our contract, fulfil legal obligations, and protect the service against abuse based on legitimate interests. You may request access, correction or deletion, and where applicable restriction, portability or objection, by emailing us. You may complain to the Swedish Authority for Privacy Protection (IMY). Your audio and dictated text stay on your Mac; trial registration does not change local processing. Content you deliberately include in a support message is processed as part of that message.
